1.2 By accessing or using any services provided by Tipping Toast Media, the Client agrees to be bound by these terms and conditions.
2- Scope of Services:
2.1 Tipping Toast Media offers digital design and gaming services, including but not limited to graphic design, web design, and gaming development.
2.2 The specific services to be provided will be outlined in individual project agreements between the Company and the Client.
3- Payments:
3.1 All payments for services provided by Tipping Toast Media are non-refundable.
3.2 The Client agrees to make payments as specified in project agreements or invoices.
3.3 Invoices not paid within the agreed-upon timeframe may result in project delays or termination at the discretion of the Company.
4- Refunds and Exchanges:
4.1 There are never refunds or exchanges for digital design and gaming projects initiated by the Client.
4.2 The creative nature of digital design and gaming work makes it impractical to provide refunds once the project has commenced.
5- Project Initiation:
5.1 Projects commence upon receipt of an initial payment or as outlined in project agreements.
5.2 The Client agrees to provide timely feedback and necessary information to facilitate the smooth progress of the project.
6- Ownership and Usage Rights:
6.1 Upon full payment, the Client owns the rights to the final design or gaming product as specified in project agreements.
6.2 Tipping Toast Media retains the right to showcase completed work in its portfolio and marketing materials unless otherwise agreed upon.
7- Confidentiality:
7.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.
8- Termination:
8.1 Either party may terminate a project or this Agreement in writing if the other party breaches any material term and fails to remedy the breach within 15 days of receiving notice.
9- Governing Law:
9.1 This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
10- Limitation of Liability:
10.1 Tipping Toast Media shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of its services.
11- Indemnification:
11.1 The Client agrees to indemnify and hold Tipping Toast Media harmless from any claims, damages, or losses arising from the use of its services.
12- Entire Agreement:
12.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, understandings, or agreements.
13- Modifications:
13.1 Any modifications to this Agreement must be in writing and signed by both parties.
By using any services provided by Tipping Toast Media in any way, the Client acknowledges and agrees to be bound by the terms and conditions outlined in this Agreement.
